BishopSound Terms and Conditions of Sale 28th April 2025

Definitions
In these conditions:
- “Seller” means BishopSound.
- “Buyer” means the person, firm or company purchasing Goods from the Seller.
- “Goods” means the goods and/or services supplied by the Seller under the Contract.
- “Contract” means the agreement between the Buyer and Seller for the sale and purchase of Goods, including these Conditions.

Basis of the Contract
A Contract shall come into existence when the Seller issues a written acceptance of the Buyer’s order or otherwise confirms the order in writing.
These Conditions govern the Contract to the exclusion of any other terms the Buyer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
No variation to these Conditions shall be binding unless agreed in writing by a Director of the Seller.

Price
The price of the Goods shall be the price stated in the Seller’s written quotation or, if none, the Seller’s published price at the date of order confirmation.
Prices are exclusive of VAT, which shall be payable at the prevailing rate.
Unless otherwise stated, all prices are ex-works and do not include packaging, insurance, delivery, or import duties and taxes.

Payment
Payment shall be made on a pro-forma invoice basis unless otherwise agreed in writing by a Director of the Seller.
Time for payment shall be of the essence. The Seller reserves the right to charge interest on overdue sums at the rate of 8% per annum above the Bank of England base rate, accruing daily.
The Buyer shall indemnify the Seller for all reasonable costs, expenses, and legal fees incurred in recovering overdue payments, whether or not proceedings are issued. -
Delivery and Risk
Delivery dates are estimates only. The Seller shall not be liable for any delay in delivery.
Delivery shall be deemed completed upon the Seller making the Goods available at the agreed delivery location.
Risk in the Goods shall pass to the Buyer on completion of delivery.
Title to the Goods shall not pass to the Buyer until full payment has been received by the Seller in cleared funds.

Returns and Claims
Claims for shortages, damages, or non-conforming Goods must be made in writing within 24 hours of delivery.
If the Buyer fails to give notice within the time specified, the Goods shall be deemed to comply with the Contract.
The Buyer shall return any defective Goods at their own risk and cost unless otherwise agreed.

Export Duties and Taxes
Where Goods are supplied for export, the Buyer shall be responsible for:
- Payment of all applicable import duties, taxes, and compliance with all applicable laws and regulations of the country of destination.
The Seller shall not be liable for any costs incurred due to the Buyer’s failure to comply with such laws and regulations.

Warranty
The Seller warrants that on delivery, the Goods shall conform with their description and be free from material defects in workmanship and materials for a period of 12 months unless otherwise stated.
This warranty does not apply to:
- Consumable parts subject to wear and tear (e.g., speaker diaphragms).
- Damage caused by misuse, neglect, accident, or failure to follow maintenance instructions.
The Seller’s liability under this warranty shall be limited to the repair, replacement, or refund of the Goods at the Seller’s discretion.
Except as expressly stated, all warranties, conditions, and terms implied by statute or common law are excluded to the fullest extent permitted by law.
Nothing in these Conditions limits or excludes the Seller’s liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be excluded under law.
The Seller shall not be liable for any indirect, special, or consequential loss, including but not limited to loss of profit, business, or goodwill.

Force Majeure
The Seller shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to strikes, lockouts, accidents, war, terrorism, cyberattacks, pandemics, natural disasters, or government restrictions.

Use of Personal Information
Personal information collected by the Seller is used solely for fulfilling orders, after-sales service, and marketing communications where consent is provided.

Governing Law and Jurisdiction
These Conditions and the Contract shall be governed by and construed in accordance with the laws of England and Wales.
The parties submit to the exclusive jurisdiction of the courts of England and Wales.

All employees are responsible for complying with this policy and treating others with respect and dignity. Managers have a particular responsibility to lead by example and take appropriate action in the event of breaches of this policy.
