These Terms & Conditions govern the sale of all products supplied by BishopSound Manufacturing & Design Ltd through our website, by telephone, by email and through any other sales channel operated by BishopSound.

Please read these Terms carefully before placing an order. By purchasing products from BishopSound, you agree to be bound by these Terms.

Nothing within these Terms affects any statutory rights available to Consumers under the laws of England and Wales.

BishopSound Manufacturing & Design Ltd ("BishopSound", "we", "our" or "us") is a British designer, manufacturer and supplier of professional audio equipment, including loudspeaker drivers, speaker cabinets, subwoofers, amplifiers, accessories and related products.

Our products are supplied to musicians, venues, hire companies, installers, schools, colleges, churches, theatres, production companies, distributors and private customers throughout the United Kingdom and internationally.

We are committed to designing and supplying products that offer excellent value, long service life and dependable performance for musicians and audio professionals around the world.

Where practical, we support the repair and restoration of our products through the availability of spare parts, technical advice and authorised repair partners. This commitment forms part of our wider sustainability strategy to reduce unnecessary waste and extend product life wherever commercially viable.

These Terms & Conditions explain the legal rights and responsibilities of both BishopSound and our customers. Our separate customer policies explain how we deliver this promise in practice, including our Shipping Policy, Returns & Refund Policy, Warranty Promise, Privacy Notice and Cookie Policy.

  1. WHO THESE TERMS APPLY TO

These Terms apply to all sales made by BishopSound unless a separate written agreement has been signed between BishopSound and the customer.

Certain sections apply only to Consumers, while others apply specifically to Business Customers. These sections are clearly identified throughout these Terms.

Where a customer purchases goods for business purposes, including sole traders purchasing primarily for their business activities, those purchases may be treated as Business Customer transactions.

  1. DEFINITIONS

For the purposes of these Terms:

Business Customer means any individual, partnership, company, charity, public body, educational establishment, church, venue, installer, hire company, distributor or other organisation purchasing goods wholly or mainly for business, commercial or professional purposes.

Consumer means an individual acting wholly or mainly outside their trade, business, craft or profession.

Contract means the legally binding agreement between BishopSound and the customer for the supply of goods.

Goods means any products, accessories, spare parts, software, digital content or services supplied by BishopSound.

Website means www.bishopsound.com.

References to "writing" include email unless otherwise stated.

  1. PLACING AN ORDER

5.1 Orders may be placed through the BishopSound website, by telephone, by email or through any other authorised sales channel operated by BishopSound.

5.2 All orders are subject to acceptance by BishopSound. An automated order confirmation acknowledges receipt of your order but does not constitute acceptance of your order.

5.3 A contract between BishopSound and the customer is formed only when we dispatch the goods or expressly confirm acceptance of the order.

5.4 BishopSound reserves the right to refuse or cancel any order where:

  • Goods are unavailable.
    • Payment cannot be authorised.
    • Fraudulent activity is suspected.
    • Incorrect pricing has been published.
    • Export restrictions apply.
    • The order would breach applicable laws or regulations.
    • We reasonably believe the order has been placed in error.

5.5 If we are unable to fulfil your order, any payment already taken will be refunded promptly using the original payment method.

  1. PRODUCT AVAILABILITY

6.1 Whilst every effort is made to maintain accurate stock levels, all products remain subject to availability.

6.2 Certain products may be manufactured, assembled or configured specifically to order.

6.3 Estimated lead times are provided as guidance only and do not form part of the contract.

6.4 BishopSound reserves the right to substitute packaging or make minor manufacturing changes that do not materially affect the quality, performance or intended use of the product.

6.5 We continually develop and improve our products. Specifications, appearance and components may therefore change without prior notice provided such changes do not materially reduce the product's intended performance.

  1. PRODUCT INFORMATION

7.1 Every reasonable effort is made to ensure that product descriptions, photographs, drawings, dimensions and specifications published on our website are accurate at the time of publication.

7.2 Product images are provided for illustration only. Colours, finishes, labels, logos, fixings, packaging and cosmetic details may differ slightly from those shown.

7.3 Published technical specifications, including but not limited to:

  • Power handling
    • Frequency response
    • Sensitivity
    • Impedance
    • Maximum SPL
    • Weight
    • Dimensions
    • Magnet weight
    • Voice coil diameter

are nominal values obtained under controlled testing conditions.

Actual performance may vary depending upon enclosure design, amplifier selection, DSP configuration, crossover settings, installation, operating environment and normal manufacturing tolerances.

7.4 Product specifications may be updated from time to time as part of our programme of continuous product improvement or following independent product testing.

7.5 BishopSound shall not be liable for losses arising solely because a published specification has changed where the supplied product remains fit for its intended purpose.

  1. PRODUCT SUITABILITY 

8.1 The customer is responsible for ensuring products are suitable for their intended application.

8.2 Compatibility between products supplied by BishopSound and equipment manufactured by third parties cannot be guaranteed unless specifically confirmed in writing.

8.3 Advice provided by BishopSound regarding cabinet design, amplifier selection, DSP settings or loudspeaker configuration is offered in good faith but remains advisory in nature.

  1. PRICING

9.1 All prices displayed on the BishopSound website are shown in Pounds Sterling (GBP) unless otherwise stated.

9.2 Prices include UK VAT where applicable unless clearly identified otherwise.

9.3 International customers may be shown prices excluding UK VAT depending upon their delivery destination.

9.4 Customers remain responsible for any import duties, customs charges, local taxes or VAT payable within their own country.

9.5 BishopSound reserves the right to amend prices without prior notice.

Price changes shall not affect orders already accepted.

9.6 Despite our best efforts, occasional pricing errors may occur.

If an obvious pricing error has occurred, BishopSound reserves the right to cancel the order and refund any payment received.

  1. PROMOTIONS AND DISCOUNT CODES

10.1 Promotional offers are available only during the published promotional period.

10.2 Discount codes cannot normally be used in conjunction with other offers unless specifically stated.

10.3 BishopSound reserves the right to withdraw promotional offers at any time.

10.4 Promotional pricing shall not apply retrospectively.

  1. PAYMENT

11.1 Payment must normally be received in full before goods are dispatched unless a credit account has been agreed in writing.

11.2 BishopSound accepts payment through approved payment providers including Shopify Payments, major credit and debit cards, PayPal and other payment methods displayed at checkout.

11.3 Ownership of the goods shall remain with BishopSound until full payment has been received.

11.4 Where payment is made by bank transfer, goods will not normally be dispatched until cleared funds have been received.

11.5 BishopSound reserves the right to undertake reasonable fraud prevention and identity verification procedures before accepting an order.

11.6 Any chargeback, payment reversal or fraudulent payment may result in legal action and recovery of all associated costs.

  1. Returns, Refunds & Warranty

12.1 Returns, cancellations, exchanges and refunds are governed by the BishopSound Returns & Refund Policy.

12.2 Warranty claims are governed by the BishopSound Warranty Promise.

12.3 The BishopSound Returns & Refund Policy and BishopSound Warranty Promise form part of the BishopSound Customer Promise and should be read alongside these Terms & Conditions.

  1. EXPORT COMPLIANCE

13.1 Customers are responsible for ensuring that the purchase, importation and use of BishopSound goods complies with all applicable laws and regulations in the destination country.

13.2 BishopSound reserves the right to refuse or cancel any order where export restrictions, trade sanctions or other legal requirements prohibit the supply of goods.

13.3 Any export documentation provided by BishopSound is supplied in good faith based on the information available at the time of dispatch.

  1. INTELLECTUAL PROPERTY

14.1 All content published by BishopSound, including photographs, product descriptions, manuals, drawings, graphics, logos, trademarks and website content, remains the intellectual property of BishopSound or its licensors unless otherwise stated.

14.2 No content may be copied, reproduced, distributed or used for commercial purposes without the prior written permission of BishopSound.

15.1 Whilst every reasonable effort is made to ensure that the BishopSound website remains accurate and available, we cannot guarantee uninterrupted access.

15.2 BishopSound reserves the right to amend website content, specifications, pricing and availability without prior notice.

15.3 Customers are responsible for ensuring that appropriate security measures are in place when accessing our website.

  1. LIMITATION OF LIABILITY

16.1 Nothing within these Terms excludes or limits liability where such limitation would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory rights afforded to Consumers.

16.2 Subject to clause 16.1, BishopSound shall not be liable for any indirect or consequential loss, loss of profits, loss of business, loss of goodwill or other financial loss arising from the supply or use of the goods.

16.3 Business Customers remain responsible for ensuring that products are suitable for their intended application and are correctly installed and maintained.

  1. FORCE MAJEURE

BishopSound shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to severe weather, flood, fire, pandemic, industrial action, transport disruption, supplier failure, war, civil unrest, government action or other unforeseen events.

  1. SUSTAINABILITY

Wherever practical, BishopSound supports the repair, restoration and continued use of professional audio equipment in preference to unnecessary replacement.

  1. CHANGES TO THESE TERMS

BishopSound may update these Terms & Conditions from time to time to reflect changes in legislation, our business operations or the products and services we provide.

The version published on our website at the time an order is placed shall apply to that order.

  1. GOVERNING LAW

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws provide otherwise.
